# Reseller agreement

> The rules of the program and the split of responsibilities between you and GFXToolz.

This sets out how the reseller program works between you and GFXToolz, in plain language. By operating a reseller panel you agree to it.

  This is the agreement between **you and us**. The agreement between you and your customers is whatever you publish on your own panel — see [Legal pages](/customize/pages).

## Your relationship with us

You are an **independent reseller**. You are not our employee, agent, partner or franchisee, and you cannot enter into commitments on our behalf.

You sell to your customers under your own brand, at your own prices, on your own terms. We supply the platform and the tools behind it.

## Who is responsible for what

    Keeping the platform running. Maintaining the tools and fixing them when they break or change. Hosting, TLS and the panel software. Processing your wallet top-ups. Keeping your panel white-labelled.

    Your pricing and your published terms. Collecting payment from your customers. Your own refunds and disputes. First-line support for your customers. Any tax you owe on your sales. What your customers do with the tools.

## Merchant of record

Your customers buy from **you**. Their money goes to you, their invoice comes from you, and their contract is with you.

This means:

* Refunds to your customers are yours to give, out of what they paid you
* Chargebacks and payment disputes are between you, your customer and your payment provider
* Tax on your sales is your responsibility, in your jurisdiction
* Your customers are not our customers, and we do not support them directly

  A refund you give a customer does **not** return the seat cost to your wallet. Price with that in mind — see [Billing policy](/policies/billing).

## Your customers

Your customers are yours. We do not market to them, contact them, or use their details for anything other than running the service you have bought for them.

Equally, they are your responsibility. If a customer abuses the tools, it is treated as **your** account's behaviour — see [Acceptable use](/policies/acceptable-use).

## Accounts and access

* One reseller account per business. Do not operate several panels to work around limits.
* Keep your reseller login secure. Anything done with it is treated as done by you.
* Do not share tool credentials, extract them, or attempt to access the tools outside the panel.
* Do not resell access to anyone you have reason to believe will abuse it.

## Suspension and termination

We may suspend or close a reseller account for:

* Breach of [Acceptable use](/policies/acceptable-use), by you or by your customers
* Misrepresenting your relationship with GFXToolz — see [Branding rules](/policies/branding)
* Fraud, chargeback abuse, or attempts to circumvent the seat model
* Extracting or reselling credentials rather than access

  For anything short of serious or deliberate abuse, we will contact you first and give you a chance to fix it. Warnings come before closures.

You can stop being a reseller whenever you like. Please give your own customers reasonable notice — they are the ones affected.

### If an account is closed

Seats already assigned run to the end of their 30 days where possible. Unused wallet balance is handled as described in [Billing policy](/policies/billing).

## Changes to the program

We may change seat rates, plans and program terms. Where a change affects your costs, we will give you reasonable notice so you can adjust your own pricing first.

  The panel fee is **₹999 / \$20 per month**, debited from your wallet. Your exact fee and its next due date are shown on your Overview dashboard.

## Liability

The platform is provided as-is. We work hard on uptime and on keeping tools working, but we cannot guarantee that every tool is available at all times — many depend on third parties we do not control.

Our liability to you is limited to the amounts you have paid us. We are not liable for your lost profits, or for what you have promised your own customers.
